WHOLESALE TERMS ACKNOWLEDGEMENT

Effective January 1, 2024

This Wholesale Agreement for Wind Chimes ("Contract") is made and entered into between [The Wind Chime Co], with its principal place of business in [Grand Blanc, MI] ("Wholesaler"), and [Retailer Company Name] person completing this form, with its principal place of business at [Retailer Address] ("Retailer").

Products: Wholesaler agrees to supply Retailer with product to re-sell.
Prices: We offer the retailer competitive margin between 40-50 percent. Prices could be subject to change with monthly pricing cycles.
Term: This Contract shall commence on [Invoice Order Date] and shall continue unless earlier terminated as provided herein.
Purchase Orders: Retailers planning to purchase more than 100 units shall submit to Wholesaler written purchase orders specifying the quantity and description of Products to be purchased by Retailer. Wholesaler shall accept or reject each purchase order within [7] days of receipt. Otherwise Faire or Shopify Collective may be better alternatives with low minimums.
Payment: Retailer shall pay for Products within [30] days of receipt of an invoice from Wholesaler. Payments shall be made by [Credit Card/Check/PayPal,ShopPay]. In the event of any dispute with respect to an invoice, Retailer shall promptly notify Wholesaler in writing (email is acceptable): josh.dean@trendjockey.us
Shipping: Wholesaler shall deliver the Products to Retailer's designated location(s) in accordance with the purchase orders. All shipping costs shall be borne by Retailer by following methods:
Pay through your UPS account
Pay on order invoice directly
Quality: Wholesaler warrants that the Products shall be free from defects in materials and workmanship for a period of [14] days from the date of delivery. If any Products are found to be defective, Wholesaler shall, at its option, either replace the defective Products or refund Retailer the purchase price paid for such Products.
Confidentiality: The terms of this Contract are confidential and shall not be disclosed to any third party without the written consent of both parties.
Entire Acknowledgment: This constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof. Payment Terms however, may be negotiated with each PO. We realize every situation may be different and aim to support you by creating a mutual agreement that works.
